It's been quite some time since I chose to stick with FAT32 on Win2000 Pro,
but as I recall the reasons were entirely to do with backward
compatibility - both of data and applications.  I don't recall all the
specifics but I do recall that there problems with using my trusty old FAT32
bootup disk in DOS to format and install a clean OS from scratch.

If you're running TS4 on a dedicated machine as you say though,
compatibility issues might not matter.
